The highlighted values below are pending completion of our company registration and will be filled in before this document is relied upon commercially. Everything else on this page describes the service as it operates today.
These Retailer Terms govern the subscription between your business (“you”, “the Shop”) and [REGISTERED COMPANY NAME] (“we”, “us”), a company registered in Sri Lanka, for the use of StyleFrame AI in your shop.
If you are a shopper rather than a shop, the document you want is the Terms of Service. This one is a commercial agreement.
What the subscription includes#
A hosted virtual try-on that your customers reach by scanning a QR sticker on your hangtags, a catalogue of your products behind it, and a dashboard showing how the try-on performed in your shop.
What each plan includes is set out on our pricing page and summarised below. We may improve or change features; we will not materially reduce what your current plan includes during a period you have already paid for.
Plans, credits and limits#
Every plan includes a set number of try-ons each month, measured in credits. A completed try-on spends credits as follows:

A generation that fails or is cancelled costs you nothing. We absorb the provider cost of our own misses.

Credits expire
Credits included with your plan expire at the end of each monthly period and do not roll over. Credits you buy as a top-up carry over for as long as your subscription is live.

There is also a daily cap
Alongside the monthly credit allowance, each shop has a limit on how many try-ons it can run in a single day, measured against your shop’s own local time zone. A month’s credits spent in one morning is still a bad afternoon for the shop standing in front of the machine, so both limits exist.
Counter and staff devices can be registered so that demonstrating the product does not consume the allowance a customer at that counter needs.
Fees, tax and currency#
Fees are as agreed with you and as published on our pricing page at the time you subscribe.
- Prices published in Sri Lankan rupees are inclusive of VAT at the prevailing rate, currently 18%.
- An onboarding fee of LKR 33,250 applies to new subscriptions and is waived when you pay annually. Chain subscriptions, which include on-site onboarding per location, carry a higher fee agreed with you before you sign.
- Paying annually gives you 2 months free, so the effective monthly rate is ten twelfths of the list price.
If the exchange rate moves
Our rupee prices are set against a reference rate of LKR 335 to the dollar, reviewed quarterly. We will only reissue prices if the rate has moved more than 7.5% from the set rate, and if we do, every shop gets 30 days’ written notice before the new price applies.
How billing works today#
The pricing page describes what plans cost so you can decide. It is not a shop front. When online payment becomes available we will tell you before anything changes about how you pay.
Term, renewal and changing plan#
- The subscription runs for the period you agreed (monthly or annual) and renews for further periods of the same length unless cancelled.
- Upgrading takes effect immediately, and the difference is prorated for the remainder of the current period.
- Downgrading takes effect at your next renewal, never mid-period. You keep what you paid for until the period you paid for ends.
If a payment fails#
You get seven days’ grace. We will remind you on the first, third and sixth day.
If the invoice is still unpaid after the grace period, try-on generation pauses and your dashboard becomes read-only. Your catalogue is retained throughout: we do not delete a shop’s work over a failed payment. Everything resumes once the account is settled.
Cancelling, and what happens to your data#
You may cancel at any time. The subscription runs to the end of the period you have already paid for, then pauses; we do not refund the remainder of a period on cancellation, except under the guarantee below.
After that, your data is kept for 60 days and we offer you an export of your catalogue and statistics. At the end of the 60 days it is removed. QR stickers already on your stock will stop resolving to a working try-on once the subscription ends.
The money-back guarantee#
If StyleFrame AI is not right for your shop, tell us within 14 days of starting and we will refund your subscription fee in full, provided under a quarter of the credits are used.
The onboarding fee covers work already carried out (sticker production, catalogue setup, an on-site or remote session) and is not refundable once that work has been done.
What we need from you#
- Keep your account credentials secure, and tell us promptly if you think they have been compromised. One account is issued per shop.
- Keep your catalogue accurate: correct barcodes, correct product details, and product photography that actually represents the garment.
- Display the QR stickers as supplied, on the garments they belong to.
- Do not resell, sublicense or white-label the Service, or use it to build a competing product.
- Do not use the Service for anything unlawful, or in a way that puts your customers’ data at risk.
Your catalogue, and the rights in it#
You keep ownership of everything you upload. You grant us the licence we need to host it, process it and display it to shoppers in your shop’s try-on, for as long as your subscription is live.
You confirm that you own, or are licensed to use, every product image, description and trademark you upload, and that displaying them through the Service infringes nobody’s rights. You are responsible for that content, and you agree to cover us against a third-party claim that it infringes their rights.
We screen uploaded product images automatically for quality and suitability, and may decline to publish one. That check is a safeguard for the try-on result, not an assurance that your content is lawful.
Data protection: who is responsible for what#
This clause matters more than its length suggests, because it decides who answers a customer’s question about their photo.

Where we act as your processor we will: act only on your documented instructions; keep the data confidential; apply appropriate security; engage sub-processors only as listed in our Privacy Policy and tell you before that list changes; help you respond to a data-subject request; notify you without undue delay if we become aware of a breach affecting your data; and delete or return the data at the end of the subscription as described above. A full data-processing agreement is available on request.
What you must do in your shop
Because the shopper is standing in your premises, you are the one who has to make the notice available there. You agree to make our Privacy Policy accessible to shoppers at the point they scan (the QR sticker artwork and onboarding materials we supply are designed to do this), and not to tell shoppers anything about how their photo is handled that contradicts it.
Support and availability#
Support is provided by the channel and within the response target that comes with your plan, during business hours in Sri Lanka. Response targets are targets, not guarantees, and they measure our first response rather than a resolution.
We do not offer a contractual uptime guarantee or service credits. The Service depends on third-party AI providers, and we will not promise you an availability figure we cannot control.
Suspension#
We may suspend the Service, in whole or in part, where an invoice is overdue beyond the grace period, where these Terms are being broken, where there is a security risk to the Service or to shoppers, or where we are required to by law. Except in an emergency we will tell you first and give you a chance to put it right.
Intellectual property#
The Service and everything in it other than your own content belongs to [REGISTERED COMPANY NAME]. You get a non-exclusive, non-transferable right to use it in your own shop for the duration of the subscription, and nothing more. You may use our name and logo to tell customers you offer StyleFrame AI; anything beyond that needs our written agreement.
Confidentiality#
Each of us may learn things about the other that are not public: pricing, roadmap, sales figures, technical detail. Each of us agrees to keep those confidential, to use them only for this agreement, and to protect them as carefully as our own. This does not cover information that is already public, that you already had, or that we are legally required to disclose.
Liability#
Nothing here limits liability for death or personal injury caused by negligence, for fraud, or for anything that cannot lawfully be limited.
Subject to that, neither of us is liable to the other for indirect or consequential loss, or for loss of profit, revenue, goodwill or anticipated savings. Our total liability under this agreement in any twelve-month period is limited to the fees you paid us in that period.

Changes to these Terms#
We may update these Terms. For a change that materially affects you we will give at least 30 days’ notice by email to your account address, and you may cancel before it takes effect if you do not accept it. The version and dates at the top of this page tell you what you are reading.
Governing law and disputes#
This agreement is governed by the law of Sri Lanka, and the courts of Sri Lanka have exclusive jurisdiction. Please raise anything with us directly first.
